- U.S. and State securities laws set the rules for
offering and selling stock and other securities.
- Although the securities laws are complex, the basic
rules applicable to U.S. companies selling securities include:
- The securities must be registered or sold pursuant
to an existing private placement exemption.
- Appropriate disclosure about the company must be
made to potential investors.
- Securities issuers and others involved in offerings
must provide accurate information and avoid misleading statements or
omissions.
- Federal and state securities laws must be complied
with.
