  • U.S. and State securities laws set the rules for offering and selling stock and other securities.
  • Although the securities laws are complex, the basic rules applicable to U.S. companies selling securities include:
    • The securities must be registered or sold pursuant to an existing private placement exemption.
    • Appropriate disclosure about the company must be made to potential investors.
    • Securities issuers and others involved in offerings must provide accurate information and avoid misleading statements or omissions.
    • Federal and state securities laws must be complied with.
